Consent Action of Board of Directors (Georgia)

The Consent Action is signed by all directors of the corporation. It sets out resolutions made by the board related to organizing and incorporating the company, such as accepting the Articles of Incorporation and Bylaws, establishing the corporate seal, and naming the elected officers of the corporation. If the Consent Action is signed by all the directors, a board meeting is not needed.

Indemnification Agreements

This sample Manager Indemnification Agreement is made between an LLC and a manager of the LLC. The Agreement provides that the company will indemnify the manager against litigation risks and expenses associated with the manager’s position in the company. The company provides this indemnification to its managers in order to retain and attract the most capable persons available to serve the company.
