The Trademark and Service Mark License Agreement is made between the owner of a trademark or service mark and a company who will use the mark, in exchange for payment of royalties. The agreement sets forth, among other things, ownership of the mark, term of the license, indemnification for the mark owner, and obligations of the licensee to notify the owner of any trademark infringement or unfair competition.
